Have You Completed Your Decennial Report?

As a business in the State of Pennsylvania, you may have received a notice from the PA Department of State that 2011 is a year to file a decennial report. This report is part of a process completed every ten years to update the registrations of all domestic and foreign profit and nonprofit corporations, LLCs, LPs, and LLPs with the Department of State so that unused business names may be reissued. Entities that have been formed, have amended their articles of formation, or have updated their officer information with the Department of State after January 1, 2002 are not required to file.

For those businesses that are required to file, the decennial report is due by December 31, 2011. Failure to file the report may result in the possible loss of the right to your use your business's current name in the State of Pennsylvania on or after January 1, 2012. The decennial report form can be downloaded through the State Department's website at www.dos.state.pa.us. The filing fee is $70.

If you are unsure whether you need to file a decennial report or not, you can access the Pennsylvania Department of State's online database where the State shows entities that have file. If you prefer that we do it for you, please contact us at 215-675-8364 for assistance. (Please be advised some people have experienced difficulties when using the Department of State's online database.)
